We provided professional advice to our client on the management of their Luxembourg structure in relation to specific projects, and we also assisted our client in obtaining the relevant licenses from the Luxembourg authorities.

Corporate and regulatory aspects of a cross-border capital raising transaction

Our firm advised a Luxembourg holding entity on the corporate and regulatory aspects of a cross-border capital raising transaction, in the context of its first round of financing in venture capital. We advised this company on the best way to implement this increase in capital under Luxembourg law.

Sale of a group to another franchisor

Our firm advised a major investor of a well-known international franchise structure, in the context of the sale of the group to another franchisor. We reviewed the contractual documentation and negotiated a settlement agreement between the new franchisor and the investor. This transaction was successfully closed.

Installation of technical facilities in relation to the acquisition of a Luxembourg competitor

Our firm advised an international group of companies focused on the installation of technical facilities in relation to the acquisition of a Luxembourg competitor, and issued a high-level due diligence report in relation to this acquisition. This transaction was successfully closed.

Organization and holding of conflictual general meeting

Our firm has advised shareholders, directors and domiciliary agents of a Luxembourg investment vehicle in the context of the organization and holding of conflictual general meeting including participation to these meetings on behalf of the client and drafting of the minutes. We protected our clients against any potential liability and tried to mitigate the impact of the conflict on the daily management of the concerned companies.
